  1. Get a lawyer, have them do it for you.

Not kidding trying to get anything done within this government is an absolute hassle and you will want to tear your hair out. It is significantly easier if you get a lawyer to do all the paperwork for you though it is a little expensive.

  2. As per section 4 of the Company Act, 2063 B.S:

Any person desirous to incorporate a company shall make an application to Office of Company Registrar in the format prescribed by office along with pre-specified fees and following documents:

    1. Memorandum of Association of the proposed company

    2. Article of Association of the proposed company

    3. In the case of a public company, a copy of the agreement between the promoters prior to the incorporation of the company (if any)

    4. In case of a private company, a copy of consensus agreement (if any)

    5. When the promoter is a Nepalese Citizen, a certified copy of the citizenship certificate and where a corporate body is a promoter, a certificate of registration of incorporation, decision of BODs, and major documents regarding incorporation

    6. Where the promoter is a foreign citizen, a document providing the country of his citizenship

  3. If its just for funding purposes, i suggest not to go for pvt. Ltd. From company registrar.

You can register partnership firm from your district gharelu office. It is cheaper and less hassel. Just fill up form, submit required documents and you are good to go.
